1. Acceptance of Terms

By accessing or using ExactPages ("Service"), operated by Individual Entrepreneur Kyrylo Udruhov ("Company", "we", "us"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and the Company. By creating an account, you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

ExactPages is an AI-powered content creation platform that assists users in generating original, SEO-optimized blog posts. The Service provides tools including keyword research, YouTube video discovery, transcript extraction, AI-powered content generation, image generation, and content editing.

The Service is designed as a content creation assistant. It uses artificial intelligence to analyze publicly available video transcripts and generate new, original written content that is transformative in nature. The AI does not copy, reproduce, or redistribute video content verbatim — it creates entirely new written works based on the topics, ideas, and information discussed in source videos.

The generated content is intended to serve as a starting point that users should review, edit, enhance with their own expertise and perspective, and verify for accuracy before publishing.

3. User Accounts

You must create an account to use the Service. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

4. Intended Use and User Responsibilities

ExactPages is primarily intended for users to convert their own video content into written blog posts, as well as to create original content inspired by publicly available information. The Service is a productivity tool — similar to note-taking apps, transcription services, or AI writing assistants.

By using the Service, you represent and warrant that:

• You own the video content you process, OR you have obtained explicit permission from the content owner, OR your use of the content qualifies as fair use / fair dealing under applicable law
• You will not use the Service to produce content that merely replicates or closely paraphrases another creator's work without adding substantial original value
• You will review, edit, and enhance all AI-generated content before publishing, adding your own analysis, perspective, and expertise
• You understand that you are solely responsible for ensuring that your use of the Service and any content you publish complies with all applicable laws, regulations, and third-party terms of service
• You will properly attribute or credit original content creators where appropriate and required by law

We strongly encourage users to add significant original value to all generated content, including personal analysis, additional research, unique insights, and expert commentary. Content that merely rephrases existing material without added value may violate copyright laws and search engine guidelines.

5. Acceptable Use Policy

You agree not to use the Service to:

• Generate content that infringes on third-party copyrights, trademarks, or other intellectual property rights
• Create misleading, defamatory, harmful, hateful, or illegal content
• Engage in large-scale automated scraping or content farming without adding original value
• Impersonate content creators or misrepresent the origin of content
• Circumvent usage limits, access restrictions, or security measures
• Use automated tools to access the Service beyond normal usage patterns
• Resell, sublicense, or redistribute access to the Service without authorization
• Use the Service in any manner that violates applicable local, national, or international laws

6. Content Ownership and Intellectual Property

Your Content: You retain ownership of the content you generate using the Service, subject to the underlying intellectual property rights of third parties. ExactPages does not claim ownership of your generated content.

AI-Generated Content: Content generated by artificial intelligence may not be eligible for copyright protection in all jurisdictions. The extent of copyright protection for AI-assisted works varies by country and is an evolving area of law. You are responsible for understanding the intellectual property implications in your jurisdiction.

Our Intellectual Property: The Service, including its software, design, logos, trademarks, and documentation, is owned by the Company and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

License to Us: By using the Service, you grant us a limited, non-exclusive license to process your input data (such as video URLs and transcripts) solely for the purpose of providing the Service. We do not use your content for training AI models or share it with third parties except as necessary to deliver the Service.

7. Copyright Compliance and DMCA Policy

ExactPages respects the intellectual property rights of others and expects our users to do the same. We comply with the Digital Millennium Copyright Act (DMCA) and similar international copyright laws.

Reporting Copyright Infringement: If you believe that content generated or published using our Service infringes your copyright, you may submit a takedown notice to our designated agent:

Your notice must include:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material you claim is infringing and its location on our platform
• Your contact information (name, address, phone number, email)
• A statement that you have a good faith belief that the use is not authorized by the copyright owner
• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on their behalf
• Your physical or electronic signature

Counter-Notification: If you believe your content was wrongly removed due to a DMCA takedown notice, you may submit a counter-notification to the same address with the information required under the DMCA.

Repeat Infringers: We reserve the right to terminate the accounts of users who are found to be repeat infringers of third-party copyrights.

8. Service Description and Delivery

ExactPages provides a digital SaaS service delivered electronically through the web platform immediately upon subscription activation.

• Service delivery: Access to all plan features is granted instantly after successful payment
• Service period: Subscriptions are billed monthly from the date of purchase
• Service availability: We aim for 99.9% uptime, though we do not guarantee uninterrupted access due to maintenance, updates, or third-party service dependencies
• Free plan: Includes limited usage (3 blog posts and 3 generated images) with access to all AI providers and tools
• Paid plans: Offer higher content generation limits and additional features as described on the pricing page

9. Payment Methods and Terms

We accept the following payment methods:

• Visa and Mastercard credit/debit cards
• Other payment methods supported by WayForPay payment processor

Payment terms:

• All prices are displayed in the currency indicated on the pricing page
• Paid subscriptions renew automatically each month unless cancelled
• You may cancel your subscription at any time — access continues until the end of the current billing period
• If a recurring payment fails, we will retry up to 3 times over 3 days before downgrading your account to the Free plan
• Payments are processed securely by WayForPay. We do not store your full card details
• You will receive a payment confirmation by email after each successful transaction

10. Refund Policy

Refunds are handled in accordance with our Refund Policy. In general, refunds may be issued for technical failures, duplicate charges, unauthorized transactions, or within 3 days of the first subscription payment with limited usage. For full details, please review the Refund Policy page.

11. Third-Party Services

The Service integrates with third-party APIs and platforms. Your use of these integrations is subject to the respective third-party terms:

• YouTube / Google: Video metadata and transcript access, subject to YouTube Terms of Service and Google Privacy Policy
• Anthropic (Claude): AI content generation, subject to Anthropic Usage Policy
• OpenAI (GPT, Whisper): AI content generation and audio transcription, subject to OpenAI Terms of Use
• Google (Gemini, Imagen): AI content and image generation, subject to Google AI Terms
• Cloudflare: Security, CDN, and CAPTCHA verification
• WayForPay: Payment processing for subscriptions

ExactPages is not responsible for the availability, accuracy, or policies of third-party services. Changes to third-party services may affect the functionality of our Service.

12. User Indemnification

You agree to indemnify, defend, and hold harmless ExactPages, its owner, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to: (a) your use of the Service; (b) content you generate, publish, or distribute using the Service; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) any claim that content you published using the Service caused damage to a third party. This indemnification obligation survives termination of these Terms and your use of the Service.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

• AI-generated content will be accurate, complete, original, or suitable for any particular purpose
• The Service will be uninterrupted, secure, or error-free
• Generated content will not infringe on third-party rights — the User is responsible for reviewing all content before publication
• The Service will meet your specific requirements or expectations
• Any errors in the Service will be corrected

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXACTPAGES AND ITS OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IF YOU HAVE NOT PAID ANYTHING, OUR MAXIMUM LIABILITY SHALL BE TEN US DOLLARS ($10).

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for reasons including but not limited to:

• Violation of these Terms or Acceptable Use Policy
• Receipt of valid DMCA or copyright infringement complaints regarding your content
• Fraudulent, abusive, or illegal activity
• Non-payment of subscription fees
• At our sole discretion, for any reason

Upon termination, your right to use the Service ceases immediately. We may delete your account data after 30 days following termination. Provisions that by their nature should survive termination (including indemnification, limitation of liability, and intellectual property provisions) shall continue to apply.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it shall be submitted to the competent courts of Ukraine.

17. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by updating the "Last updated" date at the top of this page and, for significant changes, by sending an email notification to registered users. Continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree with the changes, you must stop using the Service and close your account.

18. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and ExactPages regarding your use of the Service, superseding any prior agreements.
